1. Agreement
This End User License Agreement (EULA) is a legal agreement between you (the user) and Nutri-Tech Solutions Pty Ltd (NTS, we, us) for use of the NTS G.R.O.W software platform, including the website at ntsgrow.com and the application at gestion.ntsgrow.com. By creating an account, clicking accept during registration, or using the platform, you agree to this EULA, our Terms and Conditions, and our Privacy Policy.
2. License Grant
- Subject to your active subscription and compliance with this EULA, NTS grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your internal agricultural and business purposes
- This licence is for use by the registered account holder and authorised users within your organisation as permitted by your subscription plan
- The licence does not transfer ownership of the software or platform to you
3. Restrictions
You must not:
- Copy, modify, adapt, translate, or create derivative works of the platform except as expressly permitted
- Reverse engineer, decompile, or disassemble the platform or attempt to discover source code
- Rent, lease, sublicense, sell, or redistribute access to the platform
- Use the platform to build a competing product or service
- Remove or alter proprietary notices, branding, or copyright markings
- Share login credentials with unauthorised persons or allow unauthorised access
- Use the platform in violation of applicable laws or regulations
4. Your Content and Data
- You retain ownership of farm data and content you upload
- You grant NTS a licence to host, process, back up, and display your content solely to provide the services
- You represent that you have the right to upload all content you provide and that it does not infringe third-party rights
- You are responsible for maintaining your own backups of critical farm records where required for your business
5. Intellectual Property
- NTS G.R.O.W, its software, design, documentation, educational materials, methodologies, and branding are owned by NTS or its licensors
- All rights not expressly granted to you are reserved by NTS
- Feedback you provide may be used by NTS to improve the platform without obligation to you
6. Subscription and Payment
- Access requires a valid paid subscription unless otherwise agreed in writing
- Fees, billing cycles, and plan features are described on the pricing page and in your account
- Failure to pay may result in suspension or termination of access
7. Support and Updates
- NTS may provide updates, patches, and new features at its discretion
- Support is available during published business hours unless your plan includes additional support
- We may modify or discontinue features with reasonable notice where practicable
8. Disclaimer of Warranties
The platform is provided on an as-is and as-available basis to the maximum extent permitted by law. NTS does not warrant that the platform will be uninterrupted, error-free, or that agricultural outcomes will result from use of recommendations or tools. Agronomy guidance is advisory only and must be evaluated in your specific farming context.
9. Limitation of Liability
To the maximum extent permitted by law, NTS is not liable for indirect, incidental, special, or consequential damages including crop loss, lost profits, or business interruption. Our total liability for any claim relating to the platform is limited to the fees you paid to NTS in the twelve (12) months before the claim arose. Nothing in this EULA excludes liability that cannot be excluded under Australian Consumer Law.
10. Termination
- You may terminate by cancelling your subscription through your account
- NTS may suspend or terminate access if you breach this EULA or the Terms and Conditions
- Upon termination, your licence ends and access to the platform ceases
- Sections that by nature should survive termination (including intellectual property, disclaimers, and liability limits) continue to apply
11. Governing Law
This EULA is governed by the laws of Queensland, Australia. Disputes are subject to the exclusive jurisdiction of the courts of Queensland.
12. Acceptance During Signup
When you register for NTS G.R.O.W, you must actively confirm that you have read and agree to this EULA, the Terms and Conditions, and the Privacy Policy before your account is created. Your acceptance is recorded with your registration.
